- Any reference to the words “our”, “us” or “we” refer to Synth4ever as the Licensor.
- Any reference to the words “you” or “purchaser” refer to you as the Licensee.
- Any reference to “product(s)”, “presets” or “patches” refer to “Supersonic – 64 Custom Patches for UDO Super 6, by Synth4ever / filename: Supersonic-64_Custom_Patches_for_UDO_Super_6_by_Synth4ever.zip”.
By purchasing or downloading this product via www.synth4ever.com, or via any authorized distributor or third party service or website that sells or fulfills digital delivery of our product(s), you accept and agree to the terms and conditions of this license agreement.
Grant of License
The presets contained within this product are licensed (not sold) to you on a worldwide, non-exclusive, perpetual, royalty-free basis. This product is delivered as a digital download only and each purchase comes with a single user license which is non-transferable.
Rights Granted
You may use the content of this product in your own music productions for commercial or non commercial use, and other types of audio production, so long as the content is not used in isolation.
You may use these presets incorporated in and synchronized with other media productions, which shall mean both commercial and non-commercial deliverables that contains at least one additional media element such as compositions, songs, albums, records, remixes, commercials, jingles, post productions, commissioned pieces, soundtracks for film, theatre, musicals, TV, and live performances.
The purchaser has the non-exclusive right to use the product only by a single person. The purchaser may physically transfer the product from one device/synthesizer to another, provided that only the purchaser uses the product.
You are permitted to make one copy of the purchased product solely for back-up purposes.
Restrictions
You may not sample, record or copy any part of any products or sound recordings from the product (including isolated single sounds) for the purpose of creating and distributing new sample or soundset libraries, virtual instruments or soundpacks, for commercial or non-commercial release or use of any kind.
Use of our patches in isolation such as, but not limited to; video game sound tracks, gaming machines, and mobile phone applications is not permitted. Our patches may not be used both individually or in combination with other presets to produce and fill preset libraries released commercially or non-commercially by other companies or individuals.
Any unlawful copying, duplicating, selling, lending, renting, hiring, broadcasting, uploading or downloading to any database, news groups, servers, computers, file sharing services or other illicit distribution of this product is strictly prohibited. The purchaser is prohibited from sampling, copying, modifying, translating, sharing or transferring any product or copy thereof except as expressly defined in this agreement.
Resale of this purchased product, either individually or as part of a compilation, is prohibited. You may not on-sell the product to another person or corporation.
Unauthorised duplication of any download is a violation of applicable laws.
Refunds
As this product is of an intangible digital nature, once you have purchased the digital file(s), you are not entitled to a refund. Please check the compatibility with your device/synthesizer before purchase.
Other rights and restrictions
All other rights and restrictions not specifically granted in this license are reserved by the Licensor, and we reserve any other rights not explicitly granted to you.
The Licensor reserves the right to modify, suspend or discontinue any products at any time, without prior notice being given to you.
The Licensor also reserves the right to modify the price of any product at any time, without any requirement to reimburse you due to a price reduction or promotional offer.
Intellectual Property Rights
The presets in this product are the intellectual property and copyright of the Licensor. The sole owner and author of this product is Synth4ever (Licensor) and ownership, copyright and authorship remains with the Licensor (Synth4ever).
This product is ©Copyright 2021 Synth4ever, all rights reserved, and is protected by Canadian laws, international treaties and all other applicable national or international laws.
Termination
These Terms and Conditions are effective until terminated by you or the Licensor. If you want to terminate these Terms and Conditions, you may do so by notifying us and ceasing your use of any products, and destroying the complete product(s) and all copies thereof.
The Licensor may at any time terminate these Terms and Conditions with you if you have breached any provision of these Terms and Conditions, or if we decide to no longer provide the product(s). The purchaser agrees upon such termination to destroy the complete product(s) and all copies thereof.
Indemnity
Licensee shall indemnify, save and hold harmless Licensor from and against any and all costs, claims, losses, fines, penalties, demands, suits, awards, damages, injuries, liabilities and all reasonable expenses whatsoever, including attorney’s fees incurred by the Licensor with respect to any matter that arises as a result of the Licensee’s breach of this Agreement or the commercial sale and/or use of the products, or the performance, non-performance, or harmful effects of the sale, manufacture, or use of the products, including without limitation product liability claims; or third party infringement claims stemming from Licensee’s use of any products.
Warranty
This product is provided “as-is” without warranty of any kind, either express or implied, including, but not limited to, any implied warranties of merchantability and fitness for a particular purpose, and is used at your own risk.
The Licensor will not be held responsible if the product does not fit the particular purpose of the Licensee. The product is licensed “as is” without warranties of any kind; the entire risk as to the quality and usefulness of the product lies with the purchaser.
Liability
Licensor shall not be liable for any damages or for any loss of business or business profits, business interruption, or any other direct or indirect loss resulting directly or indirectly from the use of any of Licensor’s products.
The Licensor will not be liable for any damage to Licensee’s personal health, finances, equipment, loss of hearing, any lost profit, loss of data, musical instrument hardware or software malfunction or damage, or any direct or indirect damage caused by use of the products licensed to you, the Licensee. In no event shall any potential liability exceed the amount you paid for your license.
The Licensor cannot and shall not be held responsible or liable for any direct, indirect or consequential loss or damages arising from the use of any product licensed from us in any form whatsoever. The Licensor cannot and shall not be held responsible or liable for any and all infringements that may arise from the use of the product, especially as it relates to musical compositions or productions by the Licensee.
In no event shall the Licensor be liable for any damages or any other special, consequential, exemplary, punitive, incidental, commercial, monetary or indirect damages; or for lost profits, loss of revenue, loss or corruption of data, loss of use or procurement of substitute products or services arising out of the use of or inability to use this product, including but not limited to software, hardware or device damages or failures; losses sustained by the purchaser or third parties; or for any losses, damages or claim(s) of any kind as put forth by the purchaser/Licensee or any other party.
Applicable Law
This Agreement is governed by the law of Canada.
